By accessing or using the Shahen website or any services offered by Shahen (collectively, the “Services”), you agree to be bound by these terms and conditions (“Terms”). If you do not agree to all of the Terms, do not use the Services.

Use of the Services

The Services are intended for use by businesses and are not intended for use by individual consumers. By using the Services, you represent and warrant that you are a business and have the authority to enter into these Terms.

Account Registration

In order to use certain features of the Services, you may be required to register for an account. You agree to provide accurate and complete information when creating your account, and to update this information as needed to keep it current. You are responsible for maintaining the confidentiality of your account login information, and you are solely responsible for all activities that occur under your account.

Prohibited Activities

You may not use the Services for any illegal or unauthorized purpose. You may not, in connection with the Services, engage in any conduct that: (a) is unlawful, offensive, or harmful to Shahen or any third party; (b) infringes or violates the intellectual property rights of Shahen or any third party; or (c) otherwise violates these Terms.

Intellectual Property

The Services and all content and materials included on or made available through the Services, including, but not limited to, text, graphics, logos, images, and software, are the property of Shahen or its licensors and are protected by copyright and trademark laws. You may not use any content or materials on the Services for any commercial purpose without the express written consent of Shahen.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SHAHEN MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON OR MADE AVAILABLE THROUGH THE SERVICES. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, SHAHEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

SHAHEN SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL SHAHEN BE LIABLE FOR ANY DAMAGES RESULTING FROM LOSS OF USE, DATA, OR PROFITS, OR FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

Indemnification

You agree to indemnify and hold Shahen, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without giving effect to any principles of conflicts of law.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Saudi Center for Commercial Dispute Resolution. The arbitration shall be held in Riyadh, Saudi Arabia.

Entire Agreement

These Terms constitute the entire agreement between you and Shahen with respect to the Services, and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Waiver and Severability

The failure of Shahen to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

Changes to the Terms

Shahen reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, Shahen will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Shahen’s sole discretion. By continuing to access or use the Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

Changes to the Services

Shahen reserves the right, in its sole discretion, to modify or discontinue the Services at any time without notice. Shahen shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
